Distribution Agreement
Public offer for artists — effective March 16, 2026
1. Subject of the Agreement
1.1. This Distribution Agreement ("Agreement") is a public offer (Art. 437 of the Civil Code of the Russian Federation) defining the terms for publishing and distributing musical content through the G. Music platform ("Platform").
1.2. The Distributor is sole proprietor Suklich Nikita Igorevich (INN: 860504132609, OGRNIP: 322861700086338), hereinafter the "Distributor" or "Administration".
1.3. The Artist is an individual or sole proprietor who has accepted this Agreement by uploading content through AI Studio or any other Platform interface.
1.4. The Distributor provides the Artist with services for publishing, storing, and making musical content publicly available on the Platform and through partner distribution channels.
2. Rights and Obligations of the Artist
2.1. The Artist agrees to:
- Upload only content for which the Artist holds exclusive rights or rights sufficient for distribution;
- Provide accurate metadata (title, authors, genre, cover art, etc.);
- Label AI-generated content appropriately;
- Not upload content that violates copyright, contains illegal materials, or contradicts Russian Federation law;
- Notify the Distributor of changes to their details within 5 business days.
2.2. The Artist has the right to:
- Upload an unlimited number of releases (within technical limitations);
- Request removal of their content from the Platform at any time;
- Access listening statistics through their personal account;
- Receive remuneration in accordance with Section 5 of this Agreement.
3. Rights and Obligations of the Distributor
3.1. The Distributor agrees to:
- Provide technical capability for content upload and publishing;
- Moderate content within a reasonable timeframe (up to 5 business days);
- Ensure content availability on the Platform after moderation approval;
- Pay remuneration to the Artist in accordance with Section 5.
3.2. The Distributor has the right to:
- Refuse to publish content without explanation if it violates the Agreement or the Terms of Service;
- Remove previously published content upon discovery of violations;
- Suspend payments upon reasonable suspicion of third-party rights infringement;
- Use content fragments (up to 30 seconds) for Platform marketing purposes.
4. License and Content Rights
4.2. Exclusive rights to the content remain with the Artist. This Agreement is not an assignment of exclusive rights.
4.3. The license is valid worldwide for the entire term of the Agreement.
4.4. The Artist may publish the same content on other platforms (non-exclusive distribution), unless otherwise agreed separately.
4.1. The Artist grants the Distributor a non-exclusive license to:
- Reproduce and store content on Platform servers;
- Make content publicly available through the Platform and partner channels;
- Create previews and fragments for promotional purposes;
- Include content in Platform playlists and collections.
5. Remuneration and Payments
5.1. The Artist receives remuneration of 80% of the net revenue earned by the Platform from plays of their content. The Distributor retains 20% as commission.
5.2. The billing period is a calendar month. The report on plays and accrued remuneration is available in the Artist’s personal account no later than the 15th of the following month.
5.3. Payments are made upon reaching a minimum threshold of 1,000 rubles. Unpaid amounts carry over to the next billing period.
5.4. Payments are made to the bank account specified by the Artist within 10 business days after the end of the billing period (upon reaching the threshold).
5.5. The Artist independently bears tax obligations on received remuneration in accordance with Russian Federation law.
5.6. When using subscription systems or other monetization models, remuneration is calculated proportionally to the share of plays of the Artist’s content in the total volume.
6. Special Conditions for AI Content
6.2. The Distributor reserves the right to additionally review AI content for potential violations.
6.1. AI content is accepted for distribution on the same terms as other content, subject to the following requirements:
- Mandatory labeling as "AI-Generated" or "AI-Assisted" in metadata;
- The Artist guarantees that the AI models/tools used allow commercial use of results;
- The Artist bears full responsibility for potential third-party claims related to AI content.
7. Moderation
7.2. Moderation decisions are communicated to the Artist through the Platform. If rejected, the Artist may correct issues and resubmit.
7.1. All uploaded content undergoes moderation. Grounds for rejection:
- Violation of copyright or related rights;
- Low technical quality (bitrate, distortion);
- Prohibited content (hate speech, promotion of violence);
- Metadata mismatch with actual content;
- Duplication of previously published content.
8. Liability
8.1. The Artist bears full responsibility for the accuracy of provided data and possession of rights to uploaded content.
8.2. In case of third-party claims related to the Artist’s content, the Artist agrees to resolve claims independently and compensate the Distributor for incurred losses.
8.3. The Distributor is not liable for lost profits related to temporary Platform unavailability or content removal following moderation.
9. Term and Termination
9.1. The Agreement becomes effective upon acceptance (first content upload) and is valid indefinitely.
9.2. Either party may terminate the Agreement by notifying the other party 30 calendar days in advance.
9.3. Upon termination at the Artist’s initiative:
- Content is removed from the Platform within 30 days of notification;
- Unpaid remuneration is transferred within 30 days of termination;
- Obligations for content already distributed through partner channels cease as technically feasible.
9.4. The Distributor may terminate the Agreement unilaterally in case of gross violation of its terms by the Artist.
10. Dispute Resolution
10.1. Disputes are resolved through negotiation. Mandatory pre-trial claims procedure; response period: 30 days.
10.2. If pre-trial resolution is impossible, disputes are referred to the court at the Distributor’s location.
10.3. Applicable law: legislation of the Russian Federation.
